Our mission is to connect the world’s oral health professionals to one another and patients to allow them to have access to second opnions, share their skills and provide CASE SPECIFIC OR end to end dental treatment. Our services are designed to promote economic opportunity for our members, provide cheaper alternative through artificial intelligence and machine enabled diagnostic tools to our all our users alike. We also enable you and millions of other professionals to meet, exchange ideas, learn, and find opportunities or employees, work, explore research opportunities .DentiNect is an internet application that allows secure web-based means of communication between a patient and his/her Health doctor or other health care provider listed on the Patient Portal for non-urgent messages and allows a patient a secure means to view parts of his/her Dental Health electronic medical records over the Patient Portal. Use of the Dentist Portal is optional. Your user name and password protect the confidentiality of your health information. Please DO NOT share your user name and password with anyone. If you share your user name and password with anyone, you will compromise the security of your communications via the Patient Portal. Only you can protect your user name and password. Please do so. Please carefully read these Terms and Conditions of Use. make decisions in a network of trusted relationships. BY ELECTRONICALLY CLICKING “AGREE” IN THE SPACE AT THE END OF THIS DOCUMENT, YOU ARE AGREEING TO BE BOUND BY THE PATIENT- DENTIST PORTAL TERMS AND CONDITIONS OF USE. IF YOU DO NOT AGREE TO THE PATIENT-DENTIST PORTAL TERMS AND CONDITIONS OF USE, YOU MAY ELECTRONICALLY, CLICK DISAGREE/DECLINE. IF YOU CLICK “DISAGREE/DECLINE” YOU WILL NOT BE GRANTED ACCESS TO USE THE PORTAL AND RECORD UPLOADING SECTION


Contract

When you use our Services you agree to all of these terms BY ACCEPTING THE TERMS AND CONDITIONS. Your use of our Services is also subject to our Cookie Policy, DATA POLICY and our Privacy Policy, which covers how we collect, use, share, and store your personal information. You agree that by clicking “Join Now”, “Join dentinect”, “Sign Up” or similar, registering, accessing or using our services (described below), you are agreeing to enter into a legally binding contract with DentiNect (even if you are using our Services on behalf of a company). If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Join Now” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services. Services This Contract applies to DentiNect.com, DentiNect-branded apps,, DentiNect Learning and other DentiNect-related sites, apps, communications and other services that state that they are offered under this Contract (“Services”), ALL DISCLOSED AND UNDISCLOSED , UNDER DEVELOPMENT, FUTURE DEVELOPMENT, OR PROJECTS including the offsite collection of data for those Services, such as our ads and the “Apply with DentiNect” and “Share with DentiNect” plugins. Registered users of our Services are “Members”(patients, doctors, dentists, students, researchers) and unregistered users are “Visitors” ARE COLLECTIVELY TERMED AS USERS. This Contract applies to Members and Visitors and all of them combined as USER or USERS. You are entering into this Contract with DentiNect (also referred to as “we” and “us”). As a Visitor or Member of our Services, the collection, use and sharing of your personal data is subject to this Privacy Policy (which includes our Cookie Policy and other documents referenced in this Privacy Policy) and updates.


Members and Visitors

When you register and join the DentiNect Service or become a registered user on Orodonti and other DentiNect owned platforms, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”


Change

We may make changes to the Contract. We may modify this Contract, our Privacy Policy and our Cookies Policy from time to time. If we make material changes to it, we will or not depending on circumstances provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms as of their effective date.Copies of portions of your medical / dental record are stored by DentiNect on this Portal. Each use of this Portal by you constitutes your confirmation of all the personal data you provided to be able to enroll in the Patient Portal and your request for and authorization of the release of those portions of your medical records to you. The only information available to be released to you via this Portal is portions of your medical record as determined by DentiNect policies. The remainder of your medical record is available through DentiNect’s Health Information Management department which you may contact by emailing the Admin and the release thereof is subject to DentiNect policies and procedures, appropriate authorizations and applicable law. If you wish to revoke your authorization to release medical information to you via this Patient- Dentist Portal, you must un-enroll and contact . This Patient Portal is provided by DentiNect . DentiNect is referred to as “DentiNect”, "we", "us", or "our." The term "you" or "your" refers to DentiNect-authorized viewers or users of this Patient Portal. This Patient Portal is owned and maintained by DentiNect., a Missouri non-profit corporation. This document consists of 4 additional parts - Parts 1 through 4. It is both an AGREEMENT between you and us and also our policy in making this Patient Portal available to you.


Age

Here are some promises that you make to us in this Contract:


You’re eligible to enter into this Contract and you are at least our “ appropriate Age.” Appropriate age =16 years The Services are not for use by anyone under the age of 16. To use the Services, you agree that: (1) CHILDREN Teladoc Health does not seek through this website to gather personal information from or about persons under the age of 13 without the consent of a parent or guardian. Data Collection from Children. DentiNect does not knowingly collect any information from children under 16 years of age, as the Sites and Software are not directed to persons under such age. If a parent or guardian becomes aware that his or her child under 16 years of age has provided us with Personal Information, he or she should contact us electronically using the contact tab at Admin. If we become aware that a child under 16 years of age has provided us with Personal Information, we will delete or dispose of such Personal Information in a manner that employs reasonable and current technical and organizational security methods to prevent any unauthorized access to such Personal Information.


Password

You will keep your password a secret. You will not share an account with anyone else and will follow our rules and the law Your Account You will keep your password a secret. You agree to: (1) use a strong password and keep it confidential; (2) not transfer any part of your account (e.g., connections) and (3) follow the law and our list of Dos and Don’ts and Professional Community Policies. You are responsible for anything that happens through your account unless you close it or report misuse. As between you and others (including your employer), your account belongs to you. However, if the Services were purchased by another party for you to use (e.g. student package bought by an institute /bought by your employer), the party paying for such Service has the right to control access to and get reports on your use of such paid Service; however, they do not have rights to your personal account


Payment Obligations

You’ll honor your payment obligations and you are okay with us storing your payment information. You understand that there may be fees and taxes that are added to our prices. Refunds are subject to our policy or increase or decrease in the payment can be happen without any further explanation If you buy any of our paid Services (“Premium Services”), you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Services. Failure to pay these fees will result in the termination of your paid Services. Also, you agree that: • Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates). • We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other Services you may buy. • If you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period. To avoid future charges, cancel before the renewal date. Learn how to cancel or suspend your Premium Services. • We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase. You can get a copy of your invoice through your DentiNect account settings under “Purchase History” or reques the admin for it.


Notices and Messages

You’re okay with us providing notices and messages to you through our websites, apps, and contact information. If your contact information is out of date, you may miss out on important notices. You agree that we will provide notices and messages to you in the following ways: (1) within the Service, or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.


Sharing

When you share information on our Services, others can see, copy and use that information. Our Services allow messaging and sharing of information in many ways, such as your profile, articles, group posts, links to news articles, job postings, messages and In Mails. Information and content that you share or post may be seen by other Members, Visitors or others (including off of the Services). Where we have made settings available, we will honor the choices you make about who can see content or information (e.g., message content to your addressees, sharing content only to DentiNect connections, restricting your profile visibility from search engines, or opting not to notify others of your DentiNect profile update). For job searching activities, we default to not notifying your connections network or the public. So, if you apply for a job through our Service or opt to signal that you are interested in a job, our default is to share it only with the job poster. We are not obligated to publish any information or content on our Service and can remove it with or without notice.


Your License to DentiNect

You own all of the content, feedback and personal information you provide to us, but you also grant us a non-exclusive license to it. We’ll honor the choices you make about who gets to see your information and content, including how it can be used for ads. You promise to only provide information and content that you have the right to share, and that your DentiNect profile will be truthful.As between you and DentiNect, you own the content and information that you submit or post to the Services, and you are only granting DentiNect and our affiliates the following non-exclusive license: A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content that you provide through our Services and the services of others, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways: 1. You can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems. While we may edit and make format changes to your content (such as translating or transcribing it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression. 2. Because you own your content and information and we only have non-exclusive rights to it, you may choose to make it available to others, including under the terms of a Creative Commons license. You and DentiNect agree that if content includes personal data, it is subject to our Privacy Policy. You and DentiNect agree that we may access, store, process and use any information and personal data that you provide in accordance with, the terms of the Privacy Policy and your choices (including settings) You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). You also agree that your profile information will be truthful. DentiNect may be required by law to remove certain information or content in certain countries


Service Availability

We may change, suspend or discontinue any of our Services. We may also modify our prices effective prospectively upon reasonable notice to the extent allowed under the law.

We don’t promise to store or keep showing any information and content that you’ve posted. DentiNect is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy


Other Content, Sites and Apps

Your use of others’ content and information posted on our Services, is at your own risk. Others may offer their own products and services through our Services, and we aren’t responsible for those third-party activities By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. DentiNect generally does not review content provided by our Members or others. You agree that we are not responsible for others’ (including other Members’) content or information. We cannot always prevent this misuse of our Services, and you agree that we are not responsible for any such misuse. You also acknowledge the risk that you or your organization may be mistakenly associated with content about others when we let connections and followers know you or your organization were mentioned in the news. Members have choices about this feature. DentiNect may help connect Members offering their services (career coaching, accounting, etc.) with Members seeking services. DentiNect does not perform nor employs individuals to perform these services. You must be at least 18 years of age to offer, perform or procure these services. You acknowledge that DentiNect does not supervise, direct, control or monitor Members in the performance of these services and agree that (1) DentiNect is not responsible for the offering, performance or procurement of these services, (2) DentiNect does not endorse any particular Member’s offered services, and (3) nothing shall create an employment, agency, or joint venture relationship between DentiNect and any Member offering services. If you are a Member offering services, you represent and warrant that you have all the required licenses and will provide services consistent with our Professional Community Policies. Similarly, DentiNect may help you register for and/or attend events organized by Members and connect with other Members who are attendees at such events. You agree that (1) DentiNect is not responsible for the conduct of any of the Members or other attendees at such events, (2) DentiNect does not endorse any particular event listed on our Services, (3) DentiNect does not review and/or vet any of these events, and (4) that you will adhere to these terms and conditions that apply to such events.


Limits

We have the right to limit how you connect and interact on our Services.


Limits

DentiNect reserves the right to limit your use of the Services, including the number of your connections and your ability to contact other Members. DentiNect reserves the right to restrict, suspend, or terminate your account if you breach this Contract or the law or are misusing the Services (e.g., violating any of the Dos and Don’ts or code of conduct policies

Automated Processing

We use data and information about you to make relevant suggestions to you and others. We use the information and data that you provide and that we have about Members to make recommendations for connections, content and features that may be useful to you. For example, we use data and information about you to recommend jobs to you and you to recruiters. Keeping your profile accurate and up to date helps us to make these recommendations more accurate and relevant.


We’re providing you notice about our intellectual property rights

DentiNect reserves all of its intellectual property rights in the Services. Trademarks and logos used in connection with the Services are the trademarks of their respective owners. DentiNect, and “in” logos and other DentiNect trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of DentiNect


Termination

Both you and DentiNect may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination: • Our rights to use and disclose your feedback; • Members and/or Visitors’ rights to further re-share content and information you shared through the Services; Any amounts owed by either party prior to termination remain owed after termination

We respect the intellectual property rights of others. We require that information posted by Members be accurate and not in violation of the intellectual property rights or other rights of third parties. We provide a policy and process for complaints concerning content posted by our Members.

You agree that you will

a. Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements; b. Code of Conduct and practice Clause

All the users on the DentiNect platform are to abide by an ethical and moral code of conduct and practice. All the users are to bind to use of appropriate language, shall not foul mouth any other user , openly discuss inadequacies of treatment details or results of any other user or clinician. This clause also abides to the system performance of DentiNect platform. The level of performance of all registered users atleast be as high as the law and sufficient to conform to professions own generally accepted code of conduct. The users must in all situations abide by “standards of Dental professional” General Dental council 2013/ British dental council guidelines as summarized AND British orthodontic society- these guidelines are variable to area or country of practice. IN ANY WAY IT’S THE CONCEREND CLINICIAN (S) RESPONSIBILTY TO ENSURE THE CONSENT OF TREATMENT OF THE PATIENT ON THE PLATFORM. THIRD PARTY CANNOT LIGITATE DENTINECT AS IN INDIRECT CHANNEL FOR HEALTH RECORD SHARING SERVICE OR REFERALS WITHIN OR OUTSIDE THE PORTAL SERVICE. All the users on the dentiNect are bind to take a verbal followed by a written consent form prior to the treatment start. The DentiNect USER FORMS with I accept clause the user will be responsible for having made all the clauses in the above attached forms understood -to their patients and patients guardian(s) and all the patients have agreed to their data sharing for research purposes, associated risks involved in electronic data sharing and cross border data transfer. THE PATIENT OR GUARDIAN HAS BEEN CLEARLY COMMUNICATED THE CONDITION, PROPOSED TREATMENT, COMMITMENT, TIME, VISITS, FINANCIALS, COSTS, EXTRA COSTS, RISKS, POTENTIAL DAMAGES OF THE TREATMENT, RISK OF FAILURE, ADDITIONAL COSTS ASSOCIATED, RELAPSE,. The USER AGREES TO UPLOAD THE one pager standard informed consent OR shall be/ will be uploaded to proceed the treatment with patients signature, name seal, the condition, contact details, treatment plan details, commitment , time and financial agreement , data sharing clause countersigned by the doctor. The validity of the consent form to be updated through each treatment step , CHANGES IN THE MID TREATMENT, RENEWALS, ABONDONING OF TREATMENT BY PATIENT, REFERRAL, IN HOUSE FILE SHARING OR OUT PATIENT REFERRAL is also doctors responsibility (TO WHOM THE PATIENT FIRST REPORTS OR CONSENTS TO TREATMENT). Negligence clause

Lack of attention, concern, , breach of assigned roles with in the portal with resultant damages to the Dentinect portal will comply with lack of negligence that includes Failure of login over a long period of time, abandoning the case files, failure to update case files,or updating midtreatment records, patients details, breach of financial contracts, mishandling information, deliberately hiding information of any kind, delayed response rate, inadequate supervision , UNETHICAL CODE OF PRACTICE, FAILURE TO AGREE TO TERMS AND CONDITIONS, VIOLTING ANY OF THE PORTAL POLICIES or unfollowing patient cases will have consequences as permanently removing doctors profile along with present data from the portal and incentives. DentiNect shall not be liable to explanations under such circumstances.

Financial agreement clause:

All the users in their truest honesty will provide all the of their account details along with financial details, credit card, bank accounts. The information is mandatory to establish the running ecosystem within the portal and thereby the portal shall abide to keep all the financial information confidential only to be used as a ratio of fair distribution to the portal-%along with-%case supervisors/ users .Whereas, all the referring doctors will have a certain % in the per visit treatment in financial agreement between the doctor the patient is referred for remaining or start of treatment. The financial agreement forms have thoroughly seen and I agree and DentiNect can change all the percentages anytime without any further notice.


PAYMENT AND TRANSACTION PROCESSING

Payment and Transaction Processing Generally.

You may be permitted to use the Services to pay for Designated Provider Services (as defined below), other products or services provided by the applicable Healthcare Provider, and/or other payment obligations, including, for example, your virtual insurance copayments. In connection with such payments, we process your payment card/ bank information in accordance with our Privacy Policy. DentiNect and/or its payment processing partner may collect from the applicable Healthcare Providers / users a transaction processing fee for our billing, collection and payment services (the “Transaction Processing Services”) performed in connection with such payment.


PAYMENT AND TRANSACTION PROCESSING

Designated Provider Services.

Prior to scheduling an appointment for Designated Provider Services, please carefully review (a) the price information, and (b) all of the products and services that are included and excluded in each Designated Provider Service. Healthcare Providers are required to provide the applicable Designated Provider Service at or below the price indicated at the time of scheduling (“Designated Price”), unless you separately agree otherwise. Services in addition to or different from Designated Provider Services may be available, offered or rendered by Healthcare Providers. You and your Healthcare Providers are responsible for agreeing to any additional or different services. WE ARE NOT RESPONSIBLE FOR YOUR OR ANY HEALTHCARE PROVIDER’S FAILURE TO AGREE TO ANY ADDITIONAL OR DIFFERENT SERVICES.

Certain Healthcare Providers may permit you to use the Services to pay for all or a portion of your financial obligations under your insurance coverage and benefits (the “virtual Insurance Payment Services”). While we endeavor to use reasonable efforts to validate the Insurance Content (as defined in the Terms of Use) (for example, your copayment obligation), we make no guarantees and disclaim all warranties that the Insurance Content is correct since the Insurance Content is provided by the insurance provider or via a third-party clearinghouse. Please also keep in mind that (a) the Insurance Content is constantly being updated (for example, to reflect amounts you may have paid earlier towards your deductible), (b) you are likely to receive an explanation of benefits (or similar document) from you insurance company after you receive your Healthcare Provider’s services, and (c) you may owe your Healthcare Provider more than the amount you paid through the Insurance Payment Services


PAYMENT AND TRANSACTION PROCESSING

Transaction Processing

All the user(s) agree: The transaction processing fee for the Transaction Processing Services reflects the fair market value for the Transaction Processing Services provided by DentiNect and its payment processing partner You acknowledge and agree that: (a) you are responsible for and you will pay the Designated Price for the Designated Provider Services charged through DentiNect , as well as other amounts the applicable by patients to Healthcare Provider may charge through DentiNect for any additional or different services rendered during or related to the applicable appointment; (b) you remain responsible for paying all amounts required by law and/or contract (e.g., health plan agreement), including all cost-sharing obligations (such as, but not limited to, copayments, deductibles and other coinsurance obligations); (c) DentiNect may process your payment, and may do so in collaboration with our payment processing partner; (d) DentiNect is not responsible for any charges incurred for any products or services provided by Healthcare Provider, including any Designated Provider Service; (e) DentiNect is not responsible for any charges submitted for processing by Healthcare Providers; (f) in the event you dispute any fees chargeable or charged through DentiNect by a Healthcare Provider, you will resolve such dispute directly with the applicable Healthcare Provider; (g) by using the Transaction Processing Services, you accept the terms of use and privacy policy of our payment processing partner with respect to Transaction Processing Services; and (h) you will promptly review all charges processed through the Transaction Processing Services, and immediately notify DentiNect to the extent you have any questions, concerns or disputes; in no event may you raise any questions, concerns or disputes after twelve (02) months from the date of the applicable transaction; and You further acknowledge and agree that: neither DentiNect nor our payment processing partner will be responsible if either we or our payment processing partner are unable to complete a transaction for any reason, including but not limited to: (A) if you have not provided us with accurate, current and complete payment information; (B) if you do not have sufficient available funds or available credit to complete the transaction; (C) if you do not have an active payment card, or if we are unable to confirm your payment card information or your identity; (D) if your account with us, your account with our payment processing partner, your access to the Services, or your access to our payment processing partner’s services has been terminated or suspended for any reason; (E) if we or our payment processing partner have reason to believe that the requested transaction is unauthorized; or (F) if we terminate or suspend the services we provide to the applicable Healthcare Provider.


SMS/TEXT COMMUNICATIONS

We may send communications to you on your mobile telephone by SMS or text message. Message and data rates from your mobile telephone service provider may apply and are subject to the terms and conditions imposed by your provider.


THIRD PARTY SOFTWARE

We may incorporate third party software as part of certain of the Services, including without limitation open source third party software. Your use of such third party software is subject to any and all applicable additional terms and conditions governing such use provided by the third party software provider. Where applicable, additional notices relating to the third party software may be provided by us, which for example may contain attribution and disclaimer notices applicable to the third party software.


You agree that you will not:

a. Create a false identity on DentiNect, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another’s account; b. Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services; c. Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as caps on keyword searches or profile views); d. Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of DentiNect; e. Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer)); f. Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights. For example, do not copy or distribute (except through the available sharing functionality) the posts or other content of others without their permission, which they may give by posting under a Creative Commons license; g. Violate the intellectual property or other rights of DentiNect, including, without limitation, (i) copying or distributing our learning videos or other materials or (ii) copying or distributing our technology, unless it is released under open source licenses; (iii) using the word “DentiNect” or our logos in any business name, email, or URL except as provided in the Brand Guidelines; h. Post anything that contains software viruses, worms, or any other harmful code; i. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source; j. Imply or state that you are affiliated with or endorsed by DentiNect without our express consent (e.g., representing yourself as an accredited DentiNect trainer); k. Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same, without DentiNect’s consent; l. Deep-link to our Services for any purpose other than to promote your profile or a Group on our Services, without DentiNect’s consent; m. Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages; n. Monitor the Services’ availability, performance or functionality for any competitive purpose; o. Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services; p. Overlay or otherwise modify the Services or their appearance (such as by inserting elements into the Services or removing, covering, or obscuring an advertisement included on the Services); q. Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or r. Violate the Professional Community Policies or any additional terms concerning a specific Service that are provided when you sign up for or start using such Service, and the Maps terms where applicable

Thereof DentiNect is not liable to direct or indirect damages or harm caused by users to patients, or the users any capacity do not have the power to litigate DentiNect platform.

Indemnity

You will, at your sole expense, indemnify, defend, and hold harmless DentiNect and DentiNect's officers, directors, managers, members, shareholders, agents, representatives, successors, and assigns (the Indemnifiable Parties) from and against any and all Losses (as defined below) resulting from, arising out of, or related to: (a) any breach of or any inaccurate, false, or fraudulent representation or warranty made by you in these Terms of Use; (b) any breach or default in the performance of any covenant or agreement made by you in these Terms of Use; (c) the use of, the results of the use of, or the inability to use the Site, the Content, or the Products and Services by you or any person or entity claiming through you; (d) any violation of the rights of any third party by you; or (e) willful misconduct or unlawful or negligent acts or omissions by you. DOCTORS, DENTISTS, NURSES, AND OTHER MEDICAL PROFESSIONALS USE THE SERVICES TO SHARE CONTENT WITH YOU, BUT YOUR USE OF THIS CONTENT IS NOT A SUBSTITUTE FOR HEALTHCARE. NO LICENSED MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED WHEN YOU USE THE SERVICES OR CONTENT. THIS IS TRUE WHETHER SUCH CONTENT IS PROVIDED BY OR THROUGH THE USE OF THE SERVICES OR THROUGH ANY OTHER COMMUNICATIONS FROM DENTINECT INCLUDING, WITHOUT LIMITATION, THE “FIND A DOCTOR” FEATURE, DENTINECT ANSWERS, DENTINECT BLOG, DENTINECT SOCIAL CHANNELS, DENTINECT EMAILS OR TEXT MESSAGE LINKS TO OTHER SITES, OR ANY ASSISTANCE WE MAY PROVIDE TO HELP YOU FIND AN APPROPRIATE HEALTHCARE PROVIDER IN ANY FIELD. DentiNect encourages Healthcare Providers to use the Services responsibly, but we have no control over, and cannot guarantee the availability of, any Healthcare Provider at any particular time. We will not be liable for cancelled or otherwise unfulfilled appointments, or any injury or loss resulting therefrom, or for any other injury or loss resulting or arising from, or related to, the use of the Site or Services whatsoever.


AUTHORIZATION AND ACKNOWLEDGEMENT; IMPORTANT INFORMATION ABOUT HEALTHCARE PROVIDER RELATIONSHIPS AND HEALTHCARE PROVIDER LISTS

In connection with using the Site and the Services to locate and schedule appointments with Healthcare Providers, you understand that: YOU ARE RESPONSIBLE FOR CHOOSING YOUR OWN HEALTHCARE PROVIDER, INCLUDING WITHOUT LIMITATION, DETERMINING WHETHER THE APPLICABLE HEALTHCARE PROVIDER IS SUITABLE FOR YOUR HEALTHCARE NEEDS BASED ON SPECIALTY, EXPERIENCE, QUALIFICATION, LICENSES AND OTHER IMPORTANT FACTS AND CIRCUMSTANCES THAT COULD IMPACT YOUR CARE. DentiNect or its designee takes certain limited steps to (a) verify that Healthcare Providers participating in the Services hold certain active licenses, certifications or registrations required by law to practice the specialties of the services offered by them through the Services, and (b) verify that Healthcare Providers are not listed in the Pakistan Medical and Dental council, Exclusion database. DentiNect may also exclude Healthcare Providers from our Services who, in DentiNect’s discretion, have engaged in inappropriate or unprofessional conduct. Some Healthcare Providers listed through the Services enter into contracts with us, and may pay us a fee in order to be marketed through or to use the Services. To help you find Healthcare Providers who may be suitable for your needs, and enable the maximum choice and diversity of Healthcare Providers participating in the Services, we will provide you with lists and/or profiles of Healthcare Providers. These results are based on information that you provide to us, such as insurance information, geographical location, and healthcare specialty. Note that DentiNect (a) does not recommend or endorse any Healthcare Providers, (b) does not make any representations or warranties with respect to these Healthcare Providers or the quality of the healthcare services they may provide, and (c) does not receive any additional fees from Healthcare Providers for featuring them (i.e., higher or better placement on lists) through the Services (subject to Sponsored Results as described below). Note, however, to the extent that you use the Services as provided by your employer, DentiNect may provide lists and/or profile previews based also on criteria determined by your employer and your employer’s agents or advisors. In addition, to the extent that DentiNect serves as a platform for, or provides technical support to, the provider directory associated with your health coverage, Healthcare Providers will appear in the directory based on criteria determined by your health plan or plan sponsor, as applicable. We may show you advertisements or sponsored results (“Sponsored Results”) on the Site, including above the search results. DentiNect receives additional fees from Healthcare Providers for providing Sponsored Results. Sponsored Results shown through the Services are not, and should not be considered, an endorsement or recommendation by DentiNect of the Healthcare Provider.


THE SERVICES AND CONTENT ARE INFORMATIONAL AND EDUCATIONAL RESOURCES

The Services are an informational and educational resource for consumers and Healthcare Providers. We may, but have no obligation to, publish Content through the Services that is reviewed by our editorial personnel. No party (including DentiNect) involved in the preparation or publication of such works guarantee that the Content is timely, accurate or complete, and they will not be responsible or liable for any errors or omissions in, or for the results obtained from the use of, such Content. Healthcare Provider Content: Healthcare Provider and practice Content is intended for general reference purposes only. Healthcare Provider Content may be provided by the Healthcare Provider and/or office staff, and collected from multiple other data sources that may not be confirmed by the Healthcare Provider. Such Content can change frequently and may become out of date, incomplete or inaccurate. Neither the Site nor DentiNect provides any advice or qualification certification about any particular Healthcare Provider. Procedures/Products/Services: Procedures, products, services and devices discussed and/or marketed through the Services are not applicable to all individuals, patients or all clinical situations. Any procedures, products, services or devices represented through the Services by advertisers, sponsors, and other participants of the Services, either paid or unpaid, are presented for your awareness and do not necessarily imply, and we make no claims as to, safety or appropriateness for any particular individual or prediction of effectiveness, outcome or success. Insurance Content: Insurance and insurance related Content (including, without limitation, insurance coverage and benefit Content) (“Insurance Content”) is intended for general reference purposes and for your convenience only. You agree that you will (a) provide accurate and complete insurance-related Personal Information, and (b) verify and update your insurance-related Personal Information (including, without limitation, verifying such Personal Information obtained by automated means from an insurance card you provide). Although DentiNect strives to provide you with accurate Insurance Content, we are not responsible for any inaccurate, incomplete or outdated Insurance Content, and you are responsible for complying with subparts (a) and (b) hereof.


YOUR PERSONAL INFORMATION

Protecting patient privacy and keeping your information secure are among our biggest priorities. Our Privacy Policy details how we may use, share, and maintain the information that you voluntarily share with DentiNect, which may include, without limitation, your name, address, social security number and contact information, insurance information, medical history and current medical needs, billing information, and other personally identifiable information (collectively, “Personal Information”). You may elect to enter information into a medical history form (“Medical History Form”) on behalf of yourself or a third party from whom you have authorization to provide such information. You can request (and in doing so, authorize) DentiNect to provide this information to your chosen Healthcare Provider. You acknowledge and agree that such information will be reviewed and approved by you or someone authorized by you at the time of your appointment to ensure its accuracy. You also acknowledge that DentiNect may use the data or information you provide in a Medical History Form in accordance with our Privacy Policy.


YOUR RESPONSIBILITIES

Your Account Credentials

When you create a DentiNect account, you will provide an email address and create a password (collectively, “Credentials”). You should keep your Credentials private and not share your Credentials with anyone else. You must immediately notify us if your password has been stolen or compromised by sending an email to [email protected] . You may also be able to connect to the Services through a third party service, such as Facebook or Google. If you connect to the Services through a third party service, you give us permission to access and use your information from such third party service as permitted by such third party service, and to store your log-in credentials for such third party service. DentiNect has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed by any such third party.


YOUR RESPONSIBILITIES

Your Responsibilities Generally

The Services are free, but you are still responsible for your healthcare expenses. Usual, customary and any other charges for any medical or related services rendered by Healthcare Providers will apply and will be entirely your responsibility. You are responsible for ensuring that all information that you provide to DentiNect is accurate and up-to-date, including your insurance information. Some Services may not be available through DentiNect or your Healthcare Provider depending upon a number of factors, including your insurance participation. Ultimately, you must resolve any dispute between you or any Healthcare Provider arising from any transaction hereunder directly with the Healthcare Provider. You are responsible for all use of the Services and for all use of your Credentials, including use by others to whom you have given your Credentials. You may only use the Site and the Services for lawful, non-commercial purposes. You may not use the Site in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Site or the Services. You may not attempt to gain unauthorized access to any of the Services, user accounts, or computer systems or networks, through hacking, password mining or any other means. You may not accumulate or index, directly or indirectly, any Content or portion of the Site and/or Services (including, without limitation, Healthcare Provider Content, appointment availability, price information, and Insurance Content) for any purpose whatsoever. You are also responsible for reviewing and complying with the terms set forth in our Acceptable agreement/ User Policy. In addition to our rights in these Terms of Use, we may take any legal action and implement any technological measures to prevent violations of the restrictions hereunder and to enforce these Terms of Use or our Acceptable Use Policy.


YOUR RESPONSIBILITIES

Responsibilities of Healthcare Providers and Others in the Healthcare or Medical Industries

If you are a Healthcare Provider or other person or entity in the healthcare or medical industries, regardless of whether you maintain an account with DentiNect or whether you schedule or intend to schedule appointments (including appointments for Designated Provider Services, as defined in the Additional Terms) through the Services, you acknowledge and agree that: (a) You will not use the Services to view, access or otherwise use, directly or indirectly, price, availability, or other Content for any purpose other than your own personal use as a patient or prospective patient. (b) You will not use the Services to establish, attempt to establish, or enforce, directly or indirectly, any agreement or coordination of the prices charged for any product or service; the kinds, frequencies or amounts of any product or service offered; or the customer or customer categories for any product or service, or otherwise engage or attempt to engage in price fixing, output restriction, or customer or market allocation. (c) You will not use the Services, directly or indirectly, to engage in any anti-competitive, deceptive or unfair practices, or otherwise violate applicable antitrust, competition or consumer protection laws, or regulations.

We may from time to time add new features to the Services, substitute a new service for one of the existing Services, or discontinue or suspend one of the existing Services. You will have the opportunity to submit feedback regarding your experiences with Healthcare Providers you find through the Services, to submit inquiries concerning possible medical needs and to participate in the other interactive or community features of the Site (collectively, “Posted Information”). It is important that you act responsibly when providing Posted Information. Your Posted Information must comply with our Acceptable User /Policy, and your Healthcare Provider reviews must comply with our guidelines. DentiNect reserves the right to investigate and, at our discretion, take appropriate legal action against anyone who violates these Terms of Use or the Acceptable Use Policy, including without limitation, removing any offending communication from the Services and terminating the account of such violators or blocking your use of the Services. By posting Posted Information through the Services, you agree to and hereby do grant, and you represent and warrant that you have the right to grant, to DentiNect and its contractors an irrevocable, perpetual, royalty-free, fully sublicensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such Posted Information and to adapt, edit, translate, prepare derivative works of, or incorporate into other works, such Posted Information.

All of the Content is owned by us or our licensors and is protected by copyright, trademark, patent, and trade secret laws, other proprietary rights, and international treaties. You acknowledge that the Services and any underlying technology or software used in connection with the Services contain DentiNect’s proprietary information. We give you permission to use the Content for personal, non-commercial purposes only and do not transfer any intellectual property rights to you by virtue of permitting your use of the Services. You may print, download, and store information from the Site for your own convenience, but you may not copy, distribute, republish (except as permitted in this paragraph), sell, or exploit any of the Content, or exploit the Site or Services in whole or in part, for any commercial gain or purpose whatsoever. Except as expressly provided herein, neither DentiNect nor its suppliers grant you any express or implied rights, and all rights in the Site and the Services not expressly granted by DentiNect to you are retained by DentiNect.


Dentinect Authorization

DentiNect offers services, such as helping you to find and learn about nearby healthcare providers, booking appointments with the healthcare provider(s) of your choice (each, “Your Healthcare Provider”) and managing and forwarding your health history forms and other health-related information to share with Your Healthcare Providers (“DentiNect Services”). As part of providing the DentiNect Services, DentiNect may collect, use, share, and exchange your health history forms and other health-related information with Your Healthcare Providers. Under a federal law called the Health Insurance Portability and Accountability Act (“HIPAA”),health and health-related information may be considered “protected health information” or “PHI” if such information is received from or on behalf of Your Healthcare Providers.


Safeguards for PHI

HIPAA protects the privacy and security of your PHI by limiting the uses and disclosures of PHI by most healthcare providers and by health plans (called “Covered Entities”) as well as companies, like DentiNect, that provide certain types of assistance to Covered Entities (called “Business Associates”). Under certain circumstances described in HIPAA, an individual needs to sign an Authorization form before a Covered Entity, like Your Healthcare Provider(s), can disclose protected health information to a third party.


Non-Protected Health Information

As a condition of creating your DentiNect account, you are required to read and agree to DentiNect’s Privacy Policy. DentiNect’s Privacy Policy explains how DentiNect processes and shares information received from you that is not covered by HIPAA (“Non-PHI”).


Your PHI Authorization

The purpose of this DentiNect Authorization (“Authorization”) is to request your written permission to allow DentiNect to use and disclose your PHI in the same way as we use and disclose your Non-PHI. If DentiNect is a Business Associate of Your Healthcare Providers, DentiNect needs your Authorization to be able to use and disclose your PHI in the same way it can currently use and disclose your Non-PHI when DentiNect is not working on behalf of Your Healthcare Providers, but is instead working on its own behalf. Therefore, when DentiNect relies on this Authorization, and uses and discloses PHI as described in this Authorization, it is not working as a Business Associate and the HIPAA requirements that apply to Business Associates will not apply to such uses and disclosures. If you e-sign this Authorization, you give your permission to DentiNect to retain your PHI and to use and/or disclose your PHI in the same way that you have agreed that your Non-PHI can be used and disclosed. Specifically, you agree that DentiNect can use your PHI to: • enable and customize your use of the DentiNect Services; • provide you alerts or other DentiNect Services regarding future appointments; • notify you regarding providers we think you may be interested in learning more about; • share information with you regarding services, products or resources about which we think you may be interested in learning more; • provide you with updates and information about the DentiNect Services; • market to you about DentiNect and third party products and services; • conduct analysis for DentiNect’s business purposes; • support development of the DentiNect Services; and • create de-identified information and then use and disclose this information in any way permitted by law, including to third parties in connection with their commercial and marketing efforts. You also agree that DentiNect can disclose your PHI to: • third parties assisting DentiNect with any of the uses described above; • Your Healthcare Providers to enable them to refer you to, and make appointments with, other providers on your behalf, or to perform an analysis on potential health issues or treatments, provided that you choose to use the applicable DentiNect Service; • a third party as part of a potential merger, sale or acquisition of DentiNect; • our business partners who assist us by performing core services (such as hosting, billing, fulfillment, or data storage and security) related to the operation or provision of our services, even when DentiNect is no longer working on behalf of Your Healthcare Providers; • a provider of medical services, in the event of an emergency; and • organizations that collect, aggregate and organize your information so they can make it more easily accessible to your providers.


Redisclosure

If DentiNect discloses your PHI, DentiNect will require that the person or entity receiving your PHI agrees to only use and disclose your PHI to carry out its specific business obligations to DentiNect or for the permitted purpose of the disclosure (as described above) DentiNect cannot, however, guarantee that any such person or entity to which DentiNect discloses your PHI or other information will not re-disclose it in ways that you or we did not intend or permit.


Expiration and Revocation of Authorization

YOU CAN CHANGE YOUR MIND AND REVOKE THIS AUTHORIZATION AT ANY TIME AND FOR ANY (OR NO) REASON. If you wish to revoke this Authorization, you must notify DentiNect by submitting a revocation through your account settings page. Your decision not to execute this Authorization or to revoke it at any time will not affect your ability to use certain of the DentiNect Services. A Revocation of Authorization is effective after you submit it to DentiNect, but it does not have any effect on DentiNect’s prior actions taken in reliance on the Authorization before revoked. Once DentiNect receives your Revocation of Authorization, DentiNect can only use and disclose your PHI as permitted in DentiNect’s agreements with Your Healthcare Provider(s). Your Revocation of Authorization does not affect DentiNect’s use of your Non-PHI. We will make available to Your Healthcare Provider(s), current and past, your agreement to or revocation of this Authorization.

These Terms of Use will be governed by, and interpreted and construed in accordance with, the laws of the FEDERAL , ISLAMABAD ISLAMIC REPUBLIC OF PAKISTAN, without regard to the principles of conflict of laws, and will be binding on you in the PAKISTAN and worldwide. Any suit or proceeding related to these Terms of Use will be commenced exclusively in the state or federal courts located in ISLAMABAD , PAKISTAN, and you irrevocably consent to the exclusive jurisdiction and venue of such courts. If you breach, default under, or fail to perform or observe any of your covenants or obligations under these Terms of Use, you will pay DentiNect for all costs and expenses (including, without limitation, reasonable attorneys' fees and disbursements, internal legal costs, court costs, expenses of investigation, and expert fees) incurred by DentiNect in connection with DentiNect's enforcement of its rights under these Terms of Use or collection of any amount due DentiNect pursuant to these Terms of Use, whether or not suit is brought. If any provision of these Terms of Use is finally determined to be unenforceable, invalid, or ineffective in any action, suit, or proceeding, such provision will be automatically reformed and construed so as to be valid, operative, and enforceable to the maximum extent permitted by law or equity while preserving its original intent. The determination that any provision of these Terms of Use is unenforceable, invalid, or ineffective in any action, suit, or proceeding will not affect the enforceability of the remainder of these Terms of Use. Failure on the part of DentiNect to insist upon strict compliance with any of the terms, covenants, or conditions of these Terms of Use will not be deemed a waiver of such term, covenant, or condition, nor will any waiver or relinquishment of any right or power hereunder at any one or more times be deemed a waiver or relinquishment of such right or power at any other time or times. You will not assign these Terms of Use or any of your respective rights or obligations under these Terms of Use, whether voluntarily, involuntarily, by operation of law, or otherwise, without DentiNect's prior written consent. Any proposed assignment in contravention of the foregoing sentence will be null and void. These Terms of Use are binding upon and will inure to the benefit of you and DentiNect and their respective legal representatives, heirs, executors, successors, and permitted assigns. These Terms of Use are intended solely for the benefit of you and DentiNect and do not create or grant any right in any other person or entity. The headings in these Terms of Use are inserted as a matter of convenience only and will not be used to interpret or construe any provision of these Terms of Use. Whenever the context may require, any pronoun used in these Terms of Use will include the corresponding masculine, feminine, or neuter forms and the singular of nouns, pronouns, and verbs will include the plural and vice versa. These Terms of Use will not be construed against DentiNect by reason of the fact that it was responsible for the drafting of these Terms of Use. For purposes of these Terms of Use, except as otherwise expressly provided or unless the context otherwise requires: (a) references in these Terms of Use to Sections, paragraphs, and other subdivisions without reference to a document are to designate Sections, paragraphs, and other subdivisions of these Terms of Use; (b) the words herein, hereof, hereunder, and other words of similar import refer to these Terms of Use as a whole and not to any particular provision; and (c) the terms include and including will mean without limitation by reason of enumeration. The rights and remedies set forth in these Terms of Use for DentiNect or otherwise conferred upon or reserved to DentiNect are cumulative and not exclusive of any other rights or remedies which DentiNect otherwise has or would have under these Terms of Use or otherwise, and may be exercised singularly, successively, or together at the sole discretion of DentiNect as often as occasion may arise or as may be deemed expedient. These Terms of Use contain the entire agreement between you and DentiNect with respect to your use of the Site and supersedes all prior agreements, understandings, and communications, written or oral, relating to such use.

We use data about you (such as your profile, profiles you have viewed or data provided through address book uploads or partner integrations) to help others find your profile, suggest connections for you and others (e.g. Members who share your contacts or job experiences) and enable you to invite others to become a Member and connect with you. You can also opt-in to allow us to use your precise location or proximity to others for certain tasks (e.g. to suggest other nearby Members for you to connect with, calculate the commute to a new job, or notify your connections that you are at a professional event). It is your choice whether to invite someone to our Services, send a connection request, referrals or allow another Member to become your connection. When you invite someone to connect with you, your invitation will your network and basic profile information (e.g., name, profile photo, job title, region). Our Services allow you to communicate with other Members and schedule and prepare meetings with them. If your settings allow, we scan messages to provide “bots” or similar tools that facilitate tasks such as scheduling meetings, drafting responses, summarizing messages or recommending next steps.


Premium Services

Our premium Services help paying users to search for and contact Members through our Services, such as searching for and contacting job candidates, sales leads and co-workers, manage talent and promote content through social media.We sell premium Services that provide our customers and subscribers with customized-search functionality and tools (including messaging and activity alerts) as part of our talent, marketing and sales solutions. Customers can export limited information from your profile, such as name, headline, current company, current title, and general location (e.g., Dublin), such as to manage sales leads or talent, unless you opt-out. We do not provide contact information to customers as part of these premium Services without your consent. Premium Services customers can store information they have about you in our premium Services, such as a resume or contact information or sales history. For example, a financial advisor needs to archive communications with her clients through our Services in order to maintain her professional financial advisor license.

Other’ Services

You may link your account with others’ services so that they can look up your contacts’ profiles, post your shares on such platforms, or enable you to start conversations with your connections on such platforms. Excerpts from your profile will also appear on the services of others.Other services may look up your profile however no one will acess to patients information in the dashboard until shared with an existing member through file sharing option. When you opt to link your account with other services, personal data will become available to them. The sharing and use of that personal data will be described in, or linked to, a consent screen when you opt to link the accounts. For example, you may link your Twitter or WeChat account to share content from our Services into these other services, or your email provider may give you the option to upload your DentiNect contacts into its own service. Third-party services have their own privacy policies, and you may be giving them permission to use your data in ways we would not. Subject to your settings, excerpts from your profile will appear on the services of others (e.g., search engine results, mail and calendar applications that show a user limited profile data of the person they are meeting or messaging, social media aggregators, talent and lead managers). “Old” profile information remains on these services until they update their data cache with changes you made to your profile.

In addition, the software hosted by DentiNect known as DentiNect (the DentiNect Software) and any other products and services offered by DentiNect on or through the Site (the DentiNect Software and such other products and services are collectively referred to in this Agreement as the Products and Services even though the term DentiNect Software is sometimes used separately in this Agreement for purposes of emphasis) (including, without limitation, all associated copyright, patent, trademark, trade secret, and other intellectual property rights and all moral rights related thereto) are owned or licensed by DentiNect, and are protected by copyright, patent, trademark, trade secret, and trade dress laws, and various other intellectual property rights and unfair competition laws. Nothing on the Site or your use of the Site, the Content, or the Products and Services will be construed as conferring any license or other rights in or to the intellectual property or other proprietary rights of DentiNect, its affiliates, or any third party, whether by estoppels, implication, or otherwise. Except as expressly provided in these Terms of Use, you may not sell, resell, license, sublicense, copy, download, reproduce, republish, repurpose, modify, upload, post, publicly display, encode, translate, transmit, distribute, transfer (including, without limitation, mirroring), or otherwise commercially exploit or put to public use the Site, the Content, or the Products and Services, in whole or in part, in any way (including, without limitation, for use in performing vision science or machine learning or to train or test deep learning or artificial intelligence algorithms in any way), all of which are strictly prohibited by DentiNect without DentiNect's prior written consent. You will not remove, modify, or obscure any copyright, patent, trademark, or other intellectual property notice included in or on the Site, the Content, or the Products and Services. You may use information on the Products and Services (such as data sheets, knowledge base articles, and similar materials) purposely made available by DentiNect for downloading from the Site, provided that you (a) not remove any proprietary notice language in all copies of such documents, (b) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (c) make no modifications to any such information, and (d) not make any additional representations or warranties relating to such documents. DentiNect hereby reserves all rights not expressly granted to you under these Terms of Use.


Name, Logo, and Trademarks

The trademarks, logos, and service marks (collectively, the Trademarks) displayed on the Site, the Content, and the Products and Services are registered and unregistered Trademarks of DentiNect and others. Nothing contained on the Site or in these Terms of Use should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Site, the Content, or the Products and Services without the prior written consent of DentiNect or such third party that may own the Trademarks displayed. Your use of the Trademarks displayed on the Site, the Content, and the Products and Services, except as provided in these Terms of Use, is strictly prohibited. Furthermore, the names and Trademarks of DentiNect may not be used in any publicity or advertising, or in any way that expresses or implies endorsement, sponsorship, or affiliation with any entity, product, or service, without DentiNect's prior written consent.


Your Use of Site and linked Portals

You may not use any deep-link, page-scrape, robot, spider, or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Site, any Content, or any Products and Services, or in any way reproduce or circumvent the navigational structure or presentation of the Site, any Content, or any Products and Services, to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Site. DentiNect reserves the right to bar any such activity. You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any DentiNect server, or to any Content or Products and Services, by hacking, password mining, or any other illegitimate means. You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Site, or any other customer of DentiNect, including, without limitation, any DentiNect account not owned by you, to its source, or exploit the Site or any product, service, or information made available or offered by DentiNect on or through the Site, in any way where the purpose is to reveal any information, including, without limitation, personal identification or information, other than your own information, as provided for by the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or DentiNect's systems or networks, or any systems or networks connected to the Site or to DentiNect. You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person's use or enjoyment of the Site. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to DentiNect on or through the Site or any Products and Services. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. You may not use the Site, any Content, or Products and Services for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of DentiNect or others. DentiNect reserves the right to take whatever action or actions it deems necessary or appropriate to enforce these Terms of Use or to establish, exercise, protect, or enforce any of its rights arising hereunder or otherwise.


Other Restrictions; Void Where Prohibited

You may not: (a) use the Site, the Content, or the Products and Services for other than their intended purposes; (b) use the Site, the Content, or the Products and Services for any marketing, selling, or other commercial uses; (c) use framing techniques to enclose any portion of the Site, connected portalor any Content, or any Products and Services, including, without limitation, any images found on the Site or any text or the layout or design of any page or form contained on a page of the Site; (d) make any derivative uses of the Site, the Content, or the Products and Services; or (e) engage in any systematic collection or extraction of data from the Site, the Content, or the Products and Services, whether or not through the use of any data mining, robots, or similar data gathering or extraction methods. These Terms of Use are subject to all of the terms and conditions set forth in the DentiNect EULA and Other Agreements, and do not alter, replace, or limit them in anyway. In the event of any conflict between these Terms of Use and the DentiNect EULA or Other Agreements, the DentiNect EULA or Other Agreements will control. By purchasing, licensing, and/or using the DentiNect Software or any other Products and Services, you acknowledge that you understand, agree to, and accept, without limitation or qualification, the DentiNect EULA or the Other Agreements pertaining to your purchase, license, or use of the DentiNect Software or any such other Products and Services without modification. DentiNect may make changes to the DentiNect Software or any other Products and Services, or to the applicable prices for the DentiNect Software or any other Products and Services, at any time, without notice. The materials on the Site with respect to the DentiNect Software or any other Products and Services may be out of date, and DentiNect makes no commitment to update the materials on the Site with respect to the DentiNect Software or such other Products and Services.


Accounts, Passwords, and Security.

The Products and Services, the Content, and certain features of the Site may require you to open an account (including, without limitation, setting up a DentiNect username and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including, without limitation, your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify DentiNect immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred to DentiNect or any other user of or visitor to the Site due to someone else using your DentiNect username, password, or account as a result of your failing to keep your account information secure and confidential. You may not use anyone else's DentiNect username, password, or account at any time. DentiNect cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations


Your Representations

You represent that you are at least 16 years of age and have attained the age of majority in the state in which you reside, and any information or data that you submit to us in connection with your use of the Site, the Content, or the Products and Services is true, correct, and accurate in all respects. In the event that any such information or data changes, you will promptly contact us to advise us of the change and provide us with the updated information or data.

Logical Images, Inc. d/b/a DentiNect (hereinafter DentiNect, we, us, or our) has created this Acceptable Use Policy, Medical Disclaimer, & Copyright Notice (this Notice) to inform you (hereinafter you, your, or yourself) as a purchaser of a license for and/or user of the software hosted by DentiNect known as DentiNect (the Software) of certain important terms and conditions set forth in the DentiNect End User License Agreement that governs your license for and/or use of the Software (the EULA). This Notice is subject to all of the terms and conditions set forth in the EULA and does not replace or limit it in anyway. You should read the EULA in detail prior to purchasing a license for or using the Software to make sure you understand and agree to its terms and conditions. Nothing in this Notice will (a) expand your rights or DentiNect's obligations under the EULA or (b) modify or otherwise affect any terms and conditions of the EULA or the rights of the parties under the EULA. In the event of any conflict between this Notice and the EULA, the EULA will control. DentiNect reserves the right, at any time and without notice, to change, modify, add to, or delete portions of this Notice, simply by making such change to this Notice in the application in which it appears. By purchasing a license for or using the Software, you acknowledge that you have received this Notice and understand, agree to, and accept, without limitation or qualification, this Notice and the contents hereof.


Acceptable Use Policy:

As used in this Notice, "DentiNect Content" means the content of the Software, Software add-ons, and any accompanying documentation made available to you by DentiNect related thereto (including, without limitation, all images, illustrations, text, data, databases, data structures and relationships, designs, documentation, materials, and other content that are contained in or are otherwise part of or make up the Software). Use of DentiNect Content During a Free Trial or for Individual Subscribers: If you are using or accessing the Software during a free trial period or as an Individual Subscriber, you may not use DentiNect Content in any way other than viewing it within the Software. DentiNect Content may not be copied, downloaded, reproduced, repurposed, distributed, sold, or otherwise commercially exploited, made available to any other individual or entity, or put to public use in any way (including, without limitation, for use in performing vision science or machine learning or to train or test deep learning or artificial intelligence algorithms in any way), all of which are strictly prohibited by DentiNect unless express written permission is granted by DentiNect. Use of DentiNect Content for Institutional Subscribers:

If you are using or accessing the Software as an Institutional Subscriber, you cannot copy or link to DentiNect Content for your clinical or educational until the right of use has been agreed between the educational institute and Dental Connect (Pvt.) limited- including consulting with individual colleagues, for patient education, and lectures or other teaching material presented within your institution. Use of DentiNect Content is restricted to current DentiNect subscribers and the rights to use defined in this policy. These rights to use expire when the institutional Software license is terminated. Educational material containing DentiNect Content, including course lectures and handouts, may be added to centralized, institutional learning management systems so long as that institution maintains an active license for the Software. DentiNect Content must remain within the context of access-controlled, specific course material within your institution. When using an image from the Software, the DentiNect copyright watermark notice must remain intact and must include the source reference: Image source: DentiNect (www.DentiNect.co).


Prohibited Uses:

publication (print or electronic), private domains, posted on websites, publicly available intranet domains, public bulletin boards, social media or chat rooms. DentiNect Content may not be added to centralized image repositories or learning management systems outside the context of specific course materials per the guidelines above. Under no circumstances may the Software or DentiNect Content be used in performing vision science or machine learning or to train or test deep learning or artificial intelligence algorithms in any way, all of which are strictly prohibited by DentiNect. Written permission for use can be requested on the DentiNect website or by emailing or contacting the admin.

Dentinect is a data processing system using its platform for research and educational purposes. By accepting the user agreement you also accept the user agreement, cookies, and privacy, copyright and data Protection policies/ guidelines Effective on January 1, 2020 This notice describes the rights of users under the General Data Protection and Privacy Act of 2019 (“GDPR”). The GDPR requires businesses like us, that receive information from consumers, to provide certain information to them. We fully describe our practices to all our members and visitors in our Privacy Policy, but use this separate notice to ensure that we meet the GDPRs requirements. DentiNect automatically gathers general statistical information about visitors to the Sites and users of the Software. Accordingly, DentiNect may automatically track and collect certain technical information from you when you visit the Sites or use the Software. This may include: (i) your IP address; (ii) your domain server; (iii) your type of computer; (iv) your type of browser; (v) the pages you viewed; and (vi) the products and services you purchased or licensed (collectively “Traffic Data”). In order for you to access certain areas of the Sites, to use the Software, to have a DentiNect account, to receive certain services, or to purchase, license, or use products or services that DentiNect offers via the Sites, DentiNect may require you to provide us with information that personally identifies you (“Personal Information”). Personal Information may include, without limitation: (i) contact data such as your name, mailing address, email address, and telephone number (“Contact Data”); (ii) financial data such as your account or credit card number (“Financial Data”); and (iii) demographic data such as your zip code (“Demographic Data”). Identifiers (e.g., real name, alias, postal address, unique personal identifier, online identifier, Internet Protocol address, email address, account name, or other similar identifiers) Characteristics of protected classifications under California or Federal law (e.g., your gender or age) (“Characteristics of Protected Classifications”) Commercial information (e.g., information regarding products or services purchased, obtained, or considered) Internet or Other Electronic Network Activity Information (e.g., browsing history, search history, and information regarding your interactions with our Services), Geolocation Data, Professional or Employment-Related Information, Inferences, Audio, pictorials, electronic, visual or similar information. Records: I have been authorized as a doctor by my patients to release my patient's medical records, including, but not be limited to, radiographs (x-rays), reports, charts, medical history, photographs, findings, plaster models or impressions or intra-oral scans of teeth, prescriptions, diagnosis, medical testing, test results, billing, and other treatment records in my doctor’s possession (“Medical Records”) (i) to other licensed dentists or and organizations employing licensed dentists and orthodontists and to DentiNect, its representatives, employees, successors, assigns, and agents for the purposes of investigating and reviewing my medical history as it pertains to orthodontic treatment with the product(s) from DentiNect and (ii) for educational and research purposes. I have been explained by my doctor and as a patient I understand the use of my Medical Records may result in disclosure of my “individually identifiable health information” as defined by the Health Insurance Portability and Accountability Act (“HIPAA”). I hereby consent to the disclosure(s) as set forth above. I will not, nor shall anyone on my behalf seek legal, equitable or monetary damages or remedies for such disclosure. I acknowledge that use of my Medical Records is without compensation and that I will not nor shall anyone on my behalf have any right of approval, claim of compensation, or seek or obtain legal, equitable or monetary damages or remedies arising out of any use such that comply with the terms of this Consent. A photostatic copy of Consent or the electronic selection of this clause shall be considered as effective and valid as an original or paper copy. I have completely explained my patients/guardians' through a verbal mode of communication in a language understandable to them. As a doctor, my patient has read, understands and agreed to the terms set forth in this Consent as indicated by my signature below /agreeing to the clause automatically renders it effective.


Use of Information Collected

DentiNect uses Traffic Data to improve our marketing and promotional efforts, to analyze usage of the Sites and the Software, to improve our content and product and service offerings, and to customize the Sites’ and the Software’s content, layout, and services. We may also use Traffic Data to help diagnose problems with our server, to manage the Sites and the Software, and to enhance the Sites and the Software based on the usage pattern data we receive. DentiNect uses Contact Data to send you our newsletter, online surveys, information about DentiNect and its products and services, and promotional material from some of our partners. We may also use your Personal Information to deliver information to you that, in some cases, is targeted to your interests, such as new products, services, and promotions. We may also ask you to voluntarily provide us with additional information regarding your personal or business interests, experience, or requests which we may use to customize our services for you. DentiNect may also use your Contact Data to contact you (via email, mail, telephone, or otherwise) when necessary or to advise you about DentiNect, our partners, events, your DentiNect account, new product and service offerings, and communications relevant to your use of the Sites and the Software. DentiNect will use your Contact Data and your Financial Data to bill you for products and services that have been purchased or licensed by you. DentiNect may use your Demographic Data to customize and tailor your experience on the Sites and using the Software, displaying content that DentiNect thinks you might be interested in and according to your preferences. If you communicate with us by telephone, fax, mail, email, or otherwise communicate with us in any manner for any reason, or otherwise submit or post information or messages on the Sites, or purchase, license, or use products or services offered by us, any Personal Information provided in such communications or related to such licenses, purchases, or use may be collected by us as Personal Information and you expressly consent to the use of your Personal Information in accordance with the terms of this Privacy Policy.


Auditing Interactions

We may share the types of personal information listed in above Section with partners, service providers and related companies, in order to audit interactions and transactions, such as to count or verify the positioning and quality of ad impressions.

DentiNect respects your privacy and is committed to protecting it as set forth in this Privacy Policy. Except as otherwise provided in this Privacy Policy or any DentiNect EULA (as defined in privacy section), DentiNect will keep your Personal Information private and will not disclose it to third parties without your prior consent, unless we believe in good faith that such disclosure is reasonably necessary or appropriate: (a) to comply with a court order or other legal process; (b) in connection with any legal proceeding or prospective legal proceeding; (c) in order to establish, exercise, protect, or enforce the rights of DentiNect or others (including, without limitation, for purposes of fraud prevention); (d) to enforce DentiNect’s Website Terms of Use (as defined below) or the DentiNect EULAs; or (e) to protect against imminent harm to the property or safety of DentiNect, our customers, or the public. Notwithstanding anything in this Privacy Policy to the contrary, we may share Traffic Data and Demographic Data with advertisers and other third parties and may share your Contact Data and Financial Data with third parties for the purpose of executing financial transactions between you and DentiNect that have been authorized by you. Any Traffic Data and Demographic Data we share with advertisers and other third parties is not linked to any Personal Information and cannot identify any individual person. Furthermore, notwithstanding anything in this Privacy Policy to the contrary: (a) we may share your Personal Information (including, without limitation, your Contact Data and Financial Data) with our employees or third parties who have a need to know your Personal Information (including, without limitation, your Contact Data and Financial Data) in connection with providing you with the products and services purchased, licensed, or used by you from us, provided that such employees or third parties have agreed to comply with the restrictions on use and disclosure contained in this Privacy Policy with respect to such Personal Information; and (b) in the event that DentiNect sells or is contemplating selling all or a portion of its business or assets in any manner whatsoever, DentiNect reserves the right to disclose and/or transfer your Personal Information (including, without limitation, your Contact Data and Financial Data) to the purchaser or prospective purchaser in connection with such acquisition, provided that such purchaser or prospective purchaser has agreed to comply with the restrictions on use and disclosure contained in this Privacy Policy with respect to such Personal Information.


Security of Personal Information

DentiNect employs reasonable and current technical and organizational security methods to prevent unauthorized access, maintain data accuracy, and ensure correct use of Personal Information. Your Personal Information is stored on secure servers that are kept in a physically secure environment. In addition, we will provide you with the capability to transmit your Personal Information online via secured and encrypted channels if you use a similarly equipped web browser. Furthermore, access to your Personal Information in our offices is restricted. Only employees or third parties who have a need to know your Personal Information in connection with providing you with the products and services purchased, licensed, or used by you from us are granted access to your Personal Information, provided that such employees or third parties have agreed to comply with the restrictions on use and disclosure contained in this Privacy Policy with respect to such Personal Information. Your DentiNect account is password protected. We recommend that you do not divulge your password to anyone. Our personnel will never ask you for your password in an unsolicited phone call or in an unsolicited email. Remember to sign out of your account and to close your browser window when you have finished your session. This is to help ensure that others cannot access your Personal Information and correspondence if you share a computer with someone else or are using a computer in a public place where others may have access to it. Despite our commitment to protecting the privacy of your Personal Information, no data transmission over the Internet, wireless network, or otherwise can be guaranteed to be perfectly secure. As a result, we cannot guaranty the security of any Personal Information you transmit to us and you do so at your own risk.

The confidentiality of the patient’s information without their informed consent shall not be applicable to stand for entry on the DentiNect system. All the users have to bind to patients confidentiality where they willfully without any coercion or pressure are releasing their data voluntarily by their own free will to be used for research purposes or cross border transfers.The DentiNect and users will have to abide by sharing the data within the DentiNect system that is GDPR compliant all the risks associated with data sharing are well understood by the user. Dentinect will ensure the protection, privacy and security of data provided in the system by verified registrations, data encryption, maintaining data anonymity, user credibility checks, password protected logins, resetting login devices with login alerts through SMS codes and Email generated messages. However, so with all the information sharing are risks involved and user completely understands them. All the changes in the data sets within the portal will be logged in by users reports. The safe transfer across the borders will be through SS certificate encryption yet there is no assurity of data breaches .

Maintenance of patients record and data information

All the users are to bind to carry quality level of records for the data sets requirements (patient intraoral and extraoral pictures, radiographs lateral cephalogram and opg and casts) with adequate mid treatment records. The users have the responsibility of maintaining the records to be up to date, complete, clear, accurate and legible, relevant and adequate.
